Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website https://authorityshapes.com (the "Site") and the services offered by STE FIDELIZI, operating under the trading name Authority Shapes ("we", "us", "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Description of Services

Authority Shapes provides strategic consulting services for service providers, consultants, and founders, including but not limited to:

• The Clarity Call (free strategic consultation)
• The Authority Engine Sprint (intensive positioning sprint)
• The Silent Authority Track (long-form mentorship program)
• The Authority Presence System (signature program)

Details of each service, including scope, deliverables, duration, and pricing, are described on the corresponding pages of the Site and in the individual service agreement signed between the Client and STE FIDELIZI.

3. Use of the Site

You agree to use the Site in compliance with applicable laws and these Terms. You agree not to:

• Use the Site for any unlawful purpose
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems
• Interfere with or disrupt the integrity or performance of the Site
• Reproduce, duplicate, copy, sell, or exploit any portion of the Site without our prior written consent
• Use any automated means (bots, scrapers, crawlers) to access the Site for commercial purposes without authorization

4. Application and Selection Process

Our services are not available on demand. Access is granted through an application and selection process:

• You submit an application through the Site forms
• We review your application against our internal qualification criteria
• We may invite you to a Clarity Call to confirm fit
• We reserve the right to decline any application without obligation to justify our decision

The submission of an application does not constitute a contractual commitment by either party until a formal service agreement is signed.

5. Contractual Terms

The specific terms of each engagement (scope, deliverables, fees, payment schedule, intellectual property, confidentiality, termination) are defined in a separate written service agreement signed between the Client and STE FIDELIZI before the start of any service.

In the absence of a signed agreement, no service shall be deemed engaged, regardless of preliminary discussions or applications submitted.

6. Pricing and Payment

Service fees are agreed in the individual service agreement. Unless otherwise specified:

• Fees are stated in Euros (EUR)
• Payment terms are defined in the agreement
• All fees are exclusive of any applicable taxes
• Late payment may result in suspension of services and statutory interest under applicable law

7. Intellectual Property

7.1 Site content

All content on the Site (text, design, graphics, logos, frameworks, methodologies) is owned by STE FIDELIZI or its licensors and protected by intellectual property law.

7.2 Client deliverables

Ownership of deliverables produced during service engagement is governed by the individual service agreement. By default, methodologies, frameworks, and proprietary models used by Authority Shapes remain the property of STE FIDELIZI.

7.3 Use of Client materials

The Client grants STE FIDELIZI a limited license to use materials provided by the Client (logos, content, testimonials) solely for the performance of the agreed services and for portfolio/case study purposes, unless otherwise agreed in writing.

8. Confidentiality

Both parties undertake to treat as strictly confidential all non-public information exchanged during the application process and the performance of services. This obligation survives the termination of any engagement for a period of three (3) years.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Site is provided "as is" without warranty of any kind
• STE FIDELIZI is not liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the Site or services
• STE FIDELIZI's total aggregate liability for any claim arising from these Terms or any service engagement shall not exceed the total amount actually paid by the Client to STE FIDELIZI for the service giving rise to the claim during the twelve (12) months preceding the claim

Nothing in these Terms excludes liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable mandatory law.

10. Force Majeure

Neither party shall be liable for any failure or delay in the performance of obligations resulting from circumstances beyond reasonable control, including but not limited to: natural disasters, pandemics, government actions, internet outages, or cyberattacks.

11. Termination

Termination conditions for each service engagement are defined in the individual service agreement. STE FIDELIZI reserves the right to suspend or terminate Site access for any user who violates these Terms.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will indicate the date of the latest revision. Continued use of the Site after publication of revised Terms constitutes acceptance of the changes.

13. Governing Law and Jurisdiction

These Terms are governed by Tunisian law. Any dispute arising from or relating to these Terms or the use of the Site shall be subject to the exclusive jurisdiction of the competent courts of Tunis, Tunisia, subject to mandatory consumer protection provisions of the applicable law in your country of residence (notably for EU residents, Article 6 of Regulation (EC) No. 593/2008 — "Rome I").

14. Entire Agreement

These Terms, together with the Privacy Policy, the Legal Notice, and any individual service agreement, constitute the entire agreement between you and STE FIDELIZI regarding the use of the Site and the services. They supersede all prior communications, proposals, or agreements, whether oral or written.
